Position Profile

The Senior Counsel, Strategic Transactions will be an integral member of the legal and compliance department supporting Jazz Pharmaceuticals’ corporate development and other departments in a variety of transactions, including mergers and acquisitions, collaborations, in-licenses and out-licenses involving pharmaceutical products and technology, divestitures and other strategic transactions.  This position will work closely with other members of the legal and compliance department and colleagues in corporate development, finance, tax, alliance management and various business units and operational functions.   Solutions-orientated and pragmatic, the Senior Counsel, Strategic Transactions will be strategic and creative in his/her approach to structuring, drafting and negotiating complex transactions, clear and confident in his/her legal advice and other communications, and a sound and effective decision maker. 

Responsibilities include:

  • Advising on the structuring and key terms of complex transactions and drafting and negotiating the accompanying agreements, including mergers and acquisitions, collaborations, in-licenses and out-licenses involving pharmaceutical products and technology and divestitures
  • Working collaboratively, efficiently and effectively both in and outside the legal and compliance department for the advancement and achievement of strategic and other corporate objectives, with a focus on client relations
  • Supporting the transaction committee of the board of directors
  • Making decisions about the use of outside counsel as appropriate for the size and complexity of the transaction and effectively leveraging and managing outside counsel
  • Acting as day-to-day legal resource for corporate development, alliance management and related activities
  • Advising alliance management and operational teams on issues that arise out of any completed transactions
  • Interacting with senior management stakeholders with clarity, conciseness, confidence and professionalism
  • Willingly assisting legal and compliance department colleagues with their projects and activities to contribute to a collegial atmosphere and to balance workloads

Essential Position Requirements:

  • JD degree; license to practice in California preferred
  • Minimum 7 years’ relevant experience in-house or with a national law firm, with demonstrated experience in a variety of complex life sciences transactions (preferably in the biopharmaceutical industry)
  • Skilled legal drafting capability with expert analytical, problem-solving and negotiation skills
  • Superior business judgment in addition to legal expertise
  • Outstanding communication skills
  • Strong interpersonal skills, with an ability to collaborate and function well in a team environment and to motivate others
  • Excellent organizational skills with the ability to handle multiple projects simultaneously
  • Self-starter; able to work with minimal supervision
  • Commitment to an excellent work product, with keen attention to detail
  • Travel, including international travel, will be required
